Special Business - Related Party Transactions (Five Resolutions)

The company seeks shareholder approval for five separate related party transactions under Section 188 of the Companies Act, 2013, all for the financial year 2027-28:

1. With Josh Commercial Private Limited: Purchase of Proprietary Custom Designed Prepared Binders etc. (max ₹15 Crores) and Sale of COC-05 (max ₹25 Lakhs). Total value: ₹15.25 Crores.

  • Related Directors: Mr. Binod Sharma (Managing Director) and Mr. Vibhor Sharma (Whole Time Director) are directors and members of Josh Commercial.

2. With BSN Investments Private Limited: Purchase of Processed Carbonaceous Additives (max ₹15 Crores).

  • Related Directors: Mr. Binod Sharma and Mr. Vibhor Sharma are directors and members. Their relatives are also directors and members.

3. With Steel Aids Private Limited: Purchase of Chemicals SPL Organic binders, SPL-404C, SP-604, HG-200, HG-6040 (max ₹30 Crores) and Sale (max ₹5 Crores). Total value: ₹35 Crores.

  • Related Director: Mr. Binod Sharma is a director and member.

4. With Sai Ram Steel Private Limited: Sale of additive and binders, Coal & coke reactivity Chemicals and other specialty chemicals (max ₹20 Crores) and Purchase (max ₹5 Crores). Total value: ₹25 Crores.

  • Related Director: Mr. Vibhor Sharma is a director and member.

5. With Iqsolv Innovate Private Limited: Sale of C-MAX, Seelanshield, Garmicool, UC555, TOPCOAT, Black Coat (max ₹15 Crores).

  • Related Directors: Mr. Binod Sharma, Mr. Vikram Kabra (Whole Time Director), and Mr. Vibhor Sharma are directors and members. A relative of Mr. Vikram Kabra is also a director and member.

Total Aggregate Value of All RPTs: ₹65.25 Crores

All transactions have been approved by the Audit Committee of the company. The approvals are sought because each transaction's value amounts to 10% or more of the company's turnover, as computed from the preceding financial year's audited statements.
