To receive, consider and adopt the standalone and consolidated audited financial statements of the Company for the financial year ended March 31, 2026, along with Reports of Auditors and Board of Directors.
2. Re-appointment of Director Retiring by Rotation
To appoint a director in place of Mr. Pramod Gopaldas Gujarathi (DIN 00418958), who retires by rotation and offers himself for re-election.

3. Re-appointment of Mr. Pramod Gopaldas Gujarathi as Whole Time Director
- Tenure: Three years with effect from April 1, 2026
- Designation: Director (Safety & Environment) and Occupier
- Functions: Responsible for compliance with safety, health and environment laws at company factories; person in charge under Legal Metrology Act, 2009
- Remuneration: Not exceeding ₹36 lakhs per annum (salary, perquisites, commission)
- Minimum Remuneration: Payable in absence or inadequacy of profits as per Companies Act, 2013
- Termination: Either party may terminate with one calendar month's notice
4. Re-appointment of Mr. Kartik Bharat Ram as Joint Managing Director
- Tenure: From June 1, 2026, to March 31, 2031
- Nature of Duties: Human Resources, Information Technology, Total Quality Management, Corporate Communication functions
- Remuneration Structure:
- Salary: ₹98.00 lakhs per month (increased from ₹90.00 lakhs per month previous year)
- Grade: ₹98,00,000 to ₹1,62,00,000 per month (includes Basic Pay and HRA)
- Commission: Based on performance criteria and overall company performance
- Perquisites:
- Category A: Medical reimbursement up to one month's salary per year
- Category B: PF contribution and gratuity as per applicable laws
- Category C: Car with chauffeur, telephone at residence
- Overall Ceiling: Aggregate remuneration not to exceed 2.5% of net profits
- Historical Remuneration:
- FY 2024: ₹20.2 crores
- FY 2025: ₹20.55 crores
- FY 2026: ₹22.77 crores
- Termination: Six months' notice or six months' remuneration in lieu of notice
5. Re-appointment of Mr. Arun Bharat Ram as Chairman Emeritus
- Tenure: April 1, 2027, to March 31, 2032
- Role: Mentor and guide to Board/Management on business strategy, corporate governance, external relationships, brand building
- Remuneration:
- Fee: ₹60 lakhs per annum
- Perquisites and allowances: Not exceeding ₹90 lakhs per annum (housing, maintenance, medical expenses, insurance, travel, car expenses)
- Reimbursements: All business expenses on actual basis
6. Ratification of Cost Auditors Remuneration for FY 2026-27
- H Tara & Co.: ₹3.25 lakhs plus taxes for Technical Textiles Business and Other Businesses
- Sanjay Gupta & Associates: ₹5.25 lakhs plus taxes for Chemicals Business and Performance Films & Foil Business
- Both include reimbursement of actual out-of-pocket expenses
7. Issue of Redeemable Non-Convertible Debentures
- Amount: Up to ₹1,500 crores
- Method: Private placement in one or more series/tranches
- Purpose: Financing capital expenditure, refinancing existing debt, general corporate purposes
- Authorization: Board authorized to determine terms, conditions, and timing
