The board will consider the amalgamation of the following companies with Stanley Lifestyles Limited (Transferee Company):
Transferor Companies:
- Stanley OEM Sofas Limited (Transferor Company No. 1) - wholly owned subsidiary
- Stanley Retail Limited (Transferor Company No. 2) - wholly owned subsidiary
- SANA Lifestyles Limited (Transferor Company No. 3) - step-down subsidiary
- Staras Seating Private Limited (Transferor Company No. 4) - step-down subsidiary
- Shrasta Decor Private Limited (Transferor Company No. 5) - step-down subsidiary
Legal Framework
The amalgamation will be pursued under:
- Section 233 of the Companies Act, 2013 (fast track merger process)
- Other applicable provisions of the Companies Act, 2013
- Applicable regulations of the Securities and Exchange Board of India
Approval Requirements
The scheme is subject to receipt of necessary statutory and regulatory approvals.
