Voting Process and Methods
Pursuant to Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of the SEBI Listing Regulations, the Company extended remote e-voting facility to all shareholders. The remote e-voting commenced at 9:00 AM (IST) on Monday, August 31, 2026, and closed at 5:00 PM (IST) on Thursday, September 3, 2026. Additionally, e-voting facility was available for 15 minutes from the conclusion of the AGM for members who had not cast their vote earlier through remote e-voting.
Mr. Santosh Kumar Pradhan, practicing Company Secretary (FCS No. 6973, CP No. 7647), was appointed as the Scrutinizer to oversee the voting process through electronic means and ensure the e-voting process was conducted fairly and transparently.
Key Proceedings and Confirmations
The Chairman, Mr. Anil Aggarwal, presided over the meeting. The Company Secretary confirmed that requisite quorum was present. The Chairman informed that the meeting was conducted via VC/OAVM in compliance with circulars issued by MCA and SEBI.
The Company Secretary informed that all statutory registers and documents referred to in the notice of AGM and Annual Report were available for electronic inspection. The notice of AGM and Annual Report for FY 2025-26 had been circulated electronically to all members. There were no qualifications, observations, remarks or comments having material adverse effect on the company's functioning in the Reports of Statutory Auditor and Secretarial Auditor.
The Statutory Auditor read the first two paragraphs of the Audit Report as it contained no qualifications or adverse remarks.

The Company Secretary invited members who had registered as speakers to express views and ask queries, which were addressed by the Management.
Results Publication and Compliance
The Company Secretary informed that e-voting results (remote e-voting and e-voting during AGM) on all resolutions along with the consolidated Scrutiniser's Report would be filed with stock exchanges within stipulated timelines and placed on the Company's website and NSDL website.
Chairman's Speech Highlights
Mr. Anil Aggarwal delivered a speech highlighting:
- FY 2025-26 standalone fasteners business delivered 11.4% revenue growth to ₹725.9 crore
- EBITDA grew by 17.1% with EBITDA margin expanding to 15.3%
