AGM Details

The 44th Annual General Meeting of Studds Accessories Limited will be held on Saturday, September 5, 2026 at 4:00 p.m. (IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM).

The meeting is being conducted in compliance with MCA Circular No. 09/2024 dated September 19, 2024, read with General Circular No. 03/2025 dated September 22, 2025, and applicable SEBI Circulars.

Record Date and Cut-off

The company has fixed Saturday, August 29, 2026 as the cut-off date for:

Determining members' eligibility to vote electronically or at the AGM
Determining entitlement to dividend for FY 2025-26, if approved

Document Distribution

The Notice of the AGM along with the Annual Report 2025-26 will be sent only by electronic mode to those Members whose e-mail addresses are registered with the Company/Depositories. A letter providing a web-link will be sent to those Members who have not registered their e-mail IDs.

The documents will also be available on the Company's website: www.studds.com and on the websites of the Stock Exchanges: www.bseindia.com and www.nseindia.com.

E-Voting Facilities

The Company has provided e-voting facility through MUFG Intime India Private Limited (MUFG) (formerly Link Intime India Private Limited) for voting on the resolutions set out in the Notice of AGM.

Dividend Information

Pursuant to applicable SEBI Circulars, dividend to Members holding shares in physical form shall be paid electronically only where the folio is KYC compliant. Members are requested to update their KYC and bank details with their Depository Participants (for dematerialised shares) or MUFG (for physical shares) at Investor.helpdesk@in.mpms.mufg.com.

TDS Requirements

Pursuant to the Income-tax Act, 2025 ("the Act"), dividend income is taxable in the hands of shareholders and the Company is required to deduct TDS at the prescribed rates. Shareholders are requested to update their residential status, PAN and category with their Depository Participants (for dematerialised shares) or MUFG (for physical shares) by 11:59 p.m. IST on August 26, 2026, to enable correct TDS deduction.

The final dividend will be paid after deduction of TDS, as applicable.

Newspaper Publication

The newspaper advertisement was published in Financial Express (English)-Delhi Edition and Jansatta (Hindi)-Delhi Edition dated August 11, 2026, both newspapers having electronic editions.
