Sudarshan Chemical Industries Limited announced the divestment of its step-down subsidiary VP4 Frankfurt GmbH to Celanese Corporation, USA. The transaction was disclosed pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

VP4 Frankfurt GmbH is engaged in the manufacture of certain intermediates, primarily Diketene, and operates mainly as a tolling operator for Nutrinova, an affiliate of Celanese Corporation and Mitsui & Co. Japan. The subsidiary became part of Sudarshan through its acquisition of the Heubach Group.

VP4 Frankfurt serves Nutrinova as its principal customer, with only a small share of its output going to Sudarshan for captive consumption. Diketene is an important intermediate for functional food ingredients, making the asset a stronger strategic fit with Celanese and Nutrinova, which produces additives for the food industry such as sweeteners.

Following completion of the transaction, Nutrinova will continue to supply Sudarshan with the materials it requires. The divestment strengthens Sudarshan's strategic focus and operational position on its core pigments business.
