AGM Details

The 32nd Annual General Meeting is scheduled to be held on Tuesday, 22nd September, 2026 at 04:00 P.M. IST through Video Conferencing/Other Audio Visual Means. The notice is available on the company website at http://www.sunshinecapital.in/.

Ordinary Business

1. Approval of Audited Financial Statements: To receive, consider and adopt the Balance Sheet as on March 31, 2026, Statement of Profit and Loss, Cash Flow Statement, Statement of changes in equity and Notes on accounts for the year ended March 31, 2026 along with report of Board of directors and auditors thereon.

2. Re-appointment of Director: To appoint Ms Priti Jain, Director (DIN: 00537234), who retires by rotation in terms of Section 152 of Companies Act, 2013 and being eligible offers herself for re-appointment. Ms Jain holds 21,897,600 shares in the company and has expertise in the financial sector. She serves as director in Sital leasing and finance ltd and is member of Risk Management Committee and Asset Liability Management Committee there.

Special Business

1. Consolidation of Equity Shares: Proposal to consolidate existing equity shares of ₹1 face value each into equity shares of ₹10 face value each, such that every ten existing equity shares of ₹1 each shall be consolidated into one equity share of ₹10 each. The consolidation will not change the aggregate amount of paid-up equity share capital. Requires consequential alteration in the Capital Clause of the Memorandum of Association.

2. Appointment of Secretarial Auditor: Proposal to appoint M/s Parul Agrawal & Associates, Practicing Company Secretaries (Membership Number A35968, Certificate of Practice Number 22311, Peer Review No. 3397/2023) as Secretarial Auditor for one term of four years for financial years 2026-27 to 2029-30. The Board will determine remuneration.
