Meeting Details
The Eighteenth Annual General Meeting of Suryoday Small Finance Bank Limited was held on Thursday, August 06, 2026, at 12:30 PM IST through Video-Conferencing/Other Audio-Visual Means. The meeting concluded at 2:00 PM IST.
Attendance
Board Members: Nine out of ten board members attended the meeting. Five attended from the corporate office in Seawoods, Navi Mumbai, while four attended remotely. Mr. Ranjit Jayant Shah (DIN: 00088405) was absent due to exigencies.
Management and Auditors: The Company Secretary & Compliance Officer, Chief Financial Officer, senior management team, representatives from joint statutory auditors (Mukund M. Chitale & Co. and Gokhale & Sathe), secretarial auditors (Tushar Shridharani & Associates LLP), and the scrutinizer (Ms. Dhara Gala) attended the meeting.
Shareholders: Fifty-three members attended through VC/OAVM facility, with ten speaker shareholders participating in the Q&A session.
Voting Process
The bank provided remote e-voting facility through KFin Technologies Limited from August 02, 2026 (9:00 AM IST) to August 05, 2026 (5:00 PM IST). Insta-Poll voting was available during the AGM for members who hadn't voted remotely. Ms. Dhara Gala was appointed as scrutinizer to oversee the voting process.
Resolutions Considered
The following nine resolutions were presented for shareholder approval:

1. Adoption of audited financial statements for FY ended March 31, 2026
2. Declaration of final dividend of ₹1.50 per equity share (15% of face value) for FY 2025-26
3. Re-appointment of Mr. Ranjit Jayant Shah as director retiring by rotation

5. Approval of remuneration payable to Mr. Baskar Babu Ramachandran (MD & CEO) for FY 2026-27
6. Approval of remuneration payable to Mr. Hemant Premchand Shah (Executive Director) for FY 2026-27
7. Fundraising of up to ₹300 crore through equity instruments (Tier-1 Capital)
8. Fundraising of up to ₹200 crore through debt instruments (Tier-2 Capital)
9. Amendments to Suryoday ESOP Scheme 2019
Shareholder Engagement
Seventeen members registered as speaker shareholders, with ten participating in the Q&A session. Questions covered financial statements, business performance, asset quality, branch expansion, digital banking initiatives, market position, share price, and growth plans. One member inquired about statutory and secretarial auditors' appointment and tenure. Management responses were provided by the MD & CEO and CFO.
Other Proceedings
The chairman presented key highlights of the bank's performance for FY 2025-26. The MD & CEO and CFO made a detailed presentation on bank performance and future plans. Statutory auditors provided an unmodified opinion with no adverse remarks in the secretarial audit report.
