Symphony Completes Bonaire USA and IPRs Acquisition for ₹52 Crore

Symphony Limited has completed the transfer of:

• 100% equity stake in Bonaire USA LLC, USA (BUSA)
• Intellectual Property Rights (IPRs)

from Climate Technologies Pty Limited (CTPL) to Symphony Limited.

The transaction was completed through execution of relevant agreements with an aggregate consideration of AUD 7.6 million (approximately ₹52 crore) remitted to CTPL in the current week. The breakdown is:

• AUD 4.3 million (approximately ₹30 crore) for transfer of 100% stake in BUSA
• AUD 3.3 million (approximately ₹22 crore) for transfer of the IPRs

CTPL has utilized the entire proceeds towards prepayment of working capital borrowings, reducing the outstanding borrowings to approximately AUD 5.5 million (approximately ₹37 crore).

Board Meeting Outcomes

As directed by the Board of Directors in its meeting held on May 15, 2026, the Company does not envisage any incremental capital allocation to its Australian subsidiaries going forward. Any future funding, if required, will be restricted to regulatory requirements only.
