This is a revision to a prior intimation submitted to BSE Limited on July 03, 2026, under SEBI Listing Obligations and Disclosure Requirements (LODR) Regulation 30.
The purpose of the disclosure is to correct a factual error in the earlier filing. The area of a newly acquired industrial property was mistakenly reported as 40,000 square feet. The corrected area is 40,000 square meters. All other facts and information from the original intimation remain unchanged.
The company has successfully secured a new industrial premises located at Plot No. 70-B, Sector – 3, Industrial Growth Center, Pithampur, Dhar, Madhya Pradesh - 454774. The purpose of the acquisition is for future expansion and the development of new projects.
Annexure A, provided as per SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 (updated January 30, 2026), contains the detailed disclosure:
- Party to Agreement: The agreement was executed with M/s Lakhani Rubber Products Private Limited.
- Purpose: Purchase of the industrial premises for future expansion and new project development.
- Size of Agreement: The total consideration for the purchase is ₹25,00,00,000 (Rupees Twenty-Five Crores Only).
- Relationship to Promoter/Group: The seller, Lakhani Rubber Products Private Limited, does not belong to the promoter/promoter group/group companies of Talbros Engineering Limited. The transaction is not a related party transaction.
- Other Terms: Details regarding shareholding, significant special rights in the agreement, issuance of shares, and loan details were marked as "Not Applicable."
