Conditions for Approval

The approval is subject to TARC Limited fulfilling the following conditions:

1. Submission of confirmation letter(s) from NSDL and/or CDSL that the proposed modifications will not result in a change of ISIN.

2. Submission of a certified true copy of the in-principle approval received from NSE (if applicable).

3. Compliance with all applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

4. Compliance with applicable provisions of the Companies Act, 2013 and other applicable laws.

5. Continued compliance with all change in guidelines, regulations, and directions from the Exchange or any statutory authorities.

The Exchange reserves the right to withdraw this in-principle approval if submitted information is found incomplete/incorrect/misleading/false or for any contravention of rules.

Validity

This in-principle approval is valid for a period of 3 months from the date of issue (September 7, 2026). It will become invalid if the ISIN changes, requiring a fresh application.
