  • The appointment term runs from the conclusion of the 41st AGM until the conclusion of the 46th AGM.
  • This re-appointment is pursuant to Section 139(2), 142 and all other applicable provisions of the Companies Act, 2013.
  • M/s. Hegde & Associates had previously served as Statutory Auditors for a first term up to the conclusion of the 41st AGM.
  • The firm offers a wide range of financial services and has several years of experience in the financial service industry.

Re-appointment of Managing Director

  • Members approved the re-appointment and remuneration of Mr. Dilip Varghese (DIN: 01424196) as Managing Director and Key Managerial Personnel of the Company.
  • The re-appointment is for a further period of three years effective from 14th August, 2026.
  • Mr. Varghese was initially appointed as Managing Director by members at the 38th Annual General Meeting held on 30th September, 2023.
  • His qualifications include Bachelor of Science (Management) and Bachelor of Science (Marketing), along with SAP Certification.
  • He has over 18 years of experience in the Construction Industry.

Re-appointment of Independent Director

  • Members approved the re-appointment of Mr. Krishan Kumar Kinra (DIN: 03412973) as an Independent and Non-Executive Director of the Company.
  • The re-appointment is for a second term of five years effective from 30th September, 2026.
  • The term runs from the conclusion of the 41st AGM until the conclusion of the 46th AGM.
  • This re-appointment is pursuant to Section 149, 150, 152 and other applicable provisions of the Companies Act, 2013.
  • Mr. Kinra is an IIT Engineer with several years of experience.
