2. Director Re-appointment
To appoint Mr. S.P. Bharat Jain Tatia (DIN: 00800056) who retires by rotation and offers himself for re-appointment. He currently holds 8,704,280 shares of face value Re. 1/- each and has attended 5 out of 5 Board meetings in FY 2025-26 (100% attendance).

3. Appointment of Mrs. Shoba Nahar as Non-Executive Non-Independent Director
Mrs. Shoba Nahar (DIN: 01055447) was appointed as Additional Director effective July 31, 2026. She holds 487,560 shares and is the sister of Mr. S.P. Bharat Jain Tatia. She has experience in finance, investments, risk management and business management.
4. Appointment of Mrs. Balasubramanian Kiruthika as Independent Director
