Dividend Declaration
- The Board of Directors recommended a final dividend of ₹2.00 (20%) per equity share of face value ₹10 each for the financial year ended 31 March 2026.
- The dividend payment is subject to approval by shareholders at the ensuing 30th Annual General Meeting.
- Dividend will be paid to shareholders holding equity shares as on the Record Date (to be announced).
TDS Procedures for Resident Shareholders
- TDS will be deducted @ 10% under Section 393(1) [Table: Sl. No. 7] read with 393(4) [Table Sl. No. 10] of the Income-tax Act, 2025.
- No TDS for resident individuals if aggregate dividend payable during Tax Year does not exceed ₹10,000.
- Tax will not be deducted if shareholders provide valid Form 121 meeting eligibility conditions.
- TDS @ 20% under Section 397(2)(b)(i) for shareholders with invalid PAN, PAN not linked with Aadhaar, or no PAN.
- NIL/lower tax deduction available for specific resident shareholders upon submission of self-declaration and supporting documents:
- Insurance companies (as per Section 2(7A) of Insurance Act, 1938)
- Mutual Funds (as specified at schedule VII Table: SI. No. 20 or 21 to Section 11)
- Alternative Investment Funds (Category I or II AIF under SEBI regulations)
- New Pension System Trust
- Other shareholders with exemption evidence
- Shareholders with valid certificate under Section 395(1) for lower/NIL deduction
TDS Procedures for Non-Resident Shareholders
- Tax withheld @ 20% plus applicable surcharge and cess under Section 393(2) [Table Sl. No 17] read with section 207(1) [Table Sl. No. 1].
- Lower/NIL withholding possible with certificate under Section 395(1).
- Option to be governed by Double Tax Avoidance Agreement (DTAA) if more beneficial.
- Required documents for DTAA benefits:
- Self-attested PAN copy (or name, email, contact, address, Tax Identification Number if no PAN)
- Self-attested Tax Residency Certificate for tax year 2026-27
- Form 41 furnished online for treaty benefit
- Self-declaration of no Permanent Establishment in India (April 2026-March 2027)
- SEBI registration certificate for FIIs/FPIs
- Additional evidence for Singapore tax residents regarding Article 24 limitation
Important Deadlines and Procedures
- Documents must be submitted to RTA MUFG Intime India Private Limited by 10 September 2026.
- No communication on tax determination/deduction entertained after 10 September 2026.
- Shareholders must update PAN, email address, bank details, and other records with their depository participants or RTA.
- Declaration under Rule 203 must be furnished by 30 September 2026 for credit of tax to person other than deductee.
Additional Provisions
- Higher TDS rate (20%) applies for non-linkage of PAN with Aadhaar as per Section 262.
- For shareholders with multiple accounts under different status/category with single PAN, higher applicable tax rate will be applied to entire holding.
- The company uses functionality of Income-tax department to verify PAN-Aadhaar linkage status.
