TeamLease Services Limited has issued notice for its 26th Annual General Meeting to be held virtually on September 18, 2026. The AGM will consider adoption of audited financial statements for FY26 and re-appointment of Mr. Manish Sabharwal as Non-Executive Director. Financial Performance Highlights

TeamLease reported strong financial results for FY26 with consolidated net profit rising 28% YoY to ₹141.38 crore. Revenue from operations grew 5.7% to ₹11,790.67 crore, driven by growth in General Staffing (₹10,879.59 crore) and Specialised Staffing (₹669.38 crore) segments. Standalone performance showed profit of ₹97.23 crore on revenue of ₹10,736.25 crore.

Management Changes and Board Composition

Significant management changes effective February 2, 2026 included Mr. Manish Sabharwal's redesignation from Whole Time Director to Non-Executive Director and appointment of Ms. Suparna Mitra as Managing Director & CEO. The board held six meetings during FY26 with 100% attendance from most directors. Shareholder voting approved these changes with near-unanimous support.

Share Buyback and Capital Allocation

The Board approved a proposed share buyback of up to ₹238 crore, representing 8.87% of total equity shares. This capital return initiative is subject to shareholder approval and demonstrates management's confidence in the company's financial position and future prospects.

Implementation of New Labour Codes resulted in an exceptional item of ₹5.68 crore (consolidated) for increased gratuity and leave liabilities. The company provided impairment allowance of ₹6.42 crore towards investment in TeamLease HRTech. ESOP activity included 1,580 new grants under the 2025 plan and forfeiture of 43,100 stock appreciation rights.

Subsidiaries and Acquisitions

The company completed acquisition of TSR Darashaw HR Services (100% for ₹17.98 crore) and TeamLease Digital Singapore (80% for ₹5.00 crore). Investments include joint venture Crystal HR and Security Solutions (30% stake). Contingent liabilities total ₹346.67 crore across various tax and regulatory matters.

Corporate Governance and Compliance

The company maintains strong governance practices with 50% independent directors, comprehensive ESG disclosures under BRSR framework, and confirmation of no material litigations against the company, promoters, or directors. 99.99% of shares are dematerialized with institutional holding at 48.64%.
