Dockers® Brand Licensing and Global Designated Supplier Agreement

Thomas Scott India Limited has entered into a Licensing Agreement & Global Designated Supplier Agreement with ABG-Dockers LLC, a subsidiary of Authentic Brands Group, for the Dockers® brand in India. The agreement was executed on August 05, 2026.

Agreement Details:

  • Parties: Thomas Scott India Limited (Licensee) and ABG-Dockers LLC (Licensor)
  • Nature: Exclusive licensing agreement and Global Designated Supplier arrangement
  • Territory: India, Nepal and Bangladesh (licensed territory)
  • Term: 5 years with option to extend for another 5 years

Scope and Rights:

The Company will serve as the exclusive licensee for Dockers® in the licensed territory, leading the brand's:

  • Product design and development
  • Manufacturing
  • Distribution
  • Retail operations
  • E-commerce operations

Additionally, the company has been appointed as a Global Designated Supplier, enabling it to manufacture Dockers products for the brand's international partner network outside the licensed territory.

Financial Considerations:

  • Licensing Stream: Royalty payable on net sales of licensed products within the licensed territory
  • Supplier Stream: Supply/wholesale margins on products manufactured and supplied by the Company to other authorized licensees and distributors outside the licensed territory

Counterparty Information:

ABG-Dockers LLC is a subsidiary of Authentic Brands Group, a global brand-management platform. According to publicly available information, Authentic's portfolio of brands generates more than USD 36 billion in annual systemwide retail sales worldwide, across a network of more than 1,700 licensing partners in over 150 countries.

Strategic Rationale:

The Agreement enables the Company to add Dockers®, a globally recognised American casualwear brand owned by Authentic Brands Group, to its portfolio of owned, licensed and international brands, deepening its presence in the premium lifestyle apparel segment in India.

Related Party Transactions:

The agreement does not fall within related party transactions. The promoter/promoter group/group companies do not have any interest in ABG-Dockers LLC.
