Thyrocare NCLT Approves Docon-API Amalgamation

The Hon'ble National Company Law Tribunal (NCLT), Mumbai Bench sanctioned the Scheme of Amalgamation on August 31, 2026
Scheme filed under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013
Copy of the NCLT Order available on the official NCLT website at https://nclt.gov.in/

The Scheme shall become operative upon the "Effective Date", which requires:

Completion of all conditions precedent
Filing of certified copy of NCLT Order with Registrar of Companies in Form No. INC-28
Docon and API shall file the certified copy with RoC within prescribed timelines

Upon Scheme effectiveness:

Docon Technologies Private Limited shall stand amalgamated with API Holdings Limited
All assets, liabilities, undertakings, rights and obligations of Docon shall transfer to API
Docon's entire shareholding in Thyrocare Technologies comprising 8,12,00,000 equity shares (51.02% of paid-up share capital) shall stand transmitted and vested to API

Docon is a wholly owned subsidiary of API
Both companies are currently members of the Promoter Group of Thyrocare Technologies
Post-amalgamation, aggregate promoter and promoter group shareholding remains unchanged at 51.02%
API will hold the 51.02% stake directly instead of through Docon
