Meeting Details

The 38th Annual General Meeting is scheduled for Thursday, August 20, 2026, at 4:00 PM IST to be conducted entirely through Video Conferencing (VC)/Other Audio-Visual Means (OAVM) in compliance with MCA circulars. The deemed venue is E-10, Lower Ground Floor, Lajpat Nagar-III, New Delhi - 110024.

Agenda Items and Resolutions

Ordinary Business:

1. Adoption of Financial Statements: To receive, consider and adopt the Audited Financial Statements for FY ended March 31, 2026, along with Reports of Board of Directors and Auditors.

2. Director Appointment: To appoint Mr. David Thomas Payne (DIN: 07504820) who retires by rotation and offers himself for reappointment as Non-Executive Non-Independent Director.

3. Dividend Confirmation: To confirm payment of dividends on preference shares:

  • (a) ₹12,71,40,800 dividend at ₹1.388 per share on 13.88%, 2,29,00,000 Cumulative Redeemable Non-Convertible Preference Shares (face value ₹10 each) for FY 2021-2024, paid to shareholders as of Record Date November 3, 2025.
  • (b) ₹3,08,27,290 dividend at ₹1.388 per share on same preference shares for period April 1, 2025 to March 20, 2026 (maturity date), paid to shareholders as of Record Date March 20, 2026.

4. Dividend Declaration: To declare dividend on preference shares:

  • ₹22,500 (₹0.009 per share) on 0.09%, 25,00,000 Non-Cumulative Redeemable Non-Convertible preference shares (face value ₹10 each) for FY 2025-26 to Timex Group Luxury Watches B.V.
  • ₹14,00,00,000 (₹1.75 crore each for 8 years) comprising unpaid accumulated dividend liability for FY 2018-19 to FY 2025-26 on 5%, 3,50,00,000 cumulative redeemable non-convertible preference shares (face value ₹10 each) to Timex Group Luxury Watches B.V.
  • ₹4,20,74,861 (₹1.075 per share) comprising ₹1,27,10,952 for FY 2024-25 (pro-rata) and ₹2,93,63,909 for FY 2025-26 on 10.75%, 2,73,15,264 Cumulative Redeemable Non-Convertible Preference Shares (face value ₹10 each) to Timex Group Luxury Watches B.V.

Director Information

Mr. David Thomas Payne (DIN: 07504820), age 54, US national, holds Bachelor of Science in Computer Science and Juris Doctor degree. Serves as Senior Vice President, General Counsel, HR and Corporate Secretary for Timex Group since 2001. Holds directorships in 28 companies including BTX Inc., Daniel Wellington AB, and various Timex Group entities. Attended 7 out of 7 board meetings in FY 2025-26. Draws no remuneration from the Indian company.
