2. Declaration of Dividend: To declare a final dividend of ₹3.25 per equity share (32.50%) on face value of ₹10 each for FY 2025-26.

3. Director Re-appointment: To re-appoint Mr. Gaurav Sekhri (DIN: 00090676), who retires by rotation.

4. Re-appointment of Independent Director: To re-appoint Mr. Sanjay Kumar Jain (DIN: 01014176) as a Non-Executive Independent Director for a second term of five years from October 20, 2026, to October 19, 2031.

8. Ratification of Cost Auditors' Remuneration: To ratify remuneration of ₹1,00,000 plus applicable taxes to M/s Pant S. & Associates (Firm Registration No. 101402) for cost audit for FY 2026-27.

9. Remuneration for Office of Profit: Approval for remuneration of Mrs. Shobha Sekhri (wife of Managing Director) at ₹4,11,950 per month and Mr. Arnav Sekhri (grandson of Managing Director) at ₹3,00,000 per month.

Voting Process and Methods

The Company is providing e-voting facility through the electronic voting platform of NSDL.

  • Remote e-voting period: Commences on Friday, September 11, 2026 at 09:00 A.M. (IST) and ends on Monday, September 14, 2026 at 05:00 P.M. (IST).
  • Cut-off date: Tuesday, September 8, 2026 for determining members entitled to vote.
  • Voting on meeting day: Members attending the AGM via VC/OAVM who have not voted remotely can vote electronically during the meeting. The e-voting module will be disabled 15 minutes after the AGM concludes.
  • Scrutinizer: Mr. Ajay Baroota (Membership No. FCS 3495 and COP No. 3945), Proprietor of M/s Ajay Baroota and Associates, has been appointed to scrutinize the e-voting process.
