The primary agenda for the meeting is to consider, review, and discuss a proposal for the merger of TPL Plastech Limited (the Transferor Company) into Time Technoplast Limited (the Transferee Company). Time Technoplast Limited is the holding company of TPL Plastech, holding a 74.86% stake in it. Time Technoplast Limited is also a listed entity on both BSE Limited and NSE.
The proposed merger will be undertaken pursuant to Sections 230 to 232 of the Companies Act, 2013. The proposal is subject to obtaining all necessary statutory and regulatory approvals.
