The 14th Annual General Meeting of Tracxn Technologies Limited will be held on Monday, August 17, 2026, at 05:00 P.M. (IST) through Video Conferencing (VC) / Other Audio Visual Means (OAVM). The Registered Office of the Company at No. L-248, 2nd Floor, 17th Cross, Sector 6, HSR Layout, Bengaluru, Karnataka- 560102 is deemed to be the venue. The meeting is being conducted virtually in compliance with MCA Circulars and SEBI Circulars, including Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 dated May 12, 2020, and others.
Summary of Proposed Resolutions
Ordinary Business:
1. Item 1: To receive, consider, and adopt the Audited Financial Statements for the financial year ended March 31, 2026, along with reports of the Board of Directors and Auditors.
2. Item 2: To appoint a Director in place of Mr. Abhishek Goyal (DIN: 00423410), who retires by rotation and offers himself for re-appointment.
3. Item 3: To appoint M/s. M S K C & Associates LLP, Chartered Accountants (Firm Registration No. 001595S/S000168), as the Statutory Auditors of the Company for a term of five consecutive years, from the conclusion of the 14th AGM till the conclusion of the 19th AGM. The proposed annual remuneration for FY 2026-27 is Rs. 30,00,000/- plus applicable taxes and out-of-pocket expenses.
Special Business:
4. Item 4: To appoint Mr. Akshay Bhushan (DIN: 07213022) as a Non-Executive Independent Director for a first term of five consecutive years, from May 25, 2026, to May 24, 2031. This requires a Special Resolution.
5. Item 5: To approve the payment of remuneration to Mr. Akshay Bhushan. The proposed remuneration is:
- Rs. 10,00,000/- per annum from May 25, 2026, to August 05, 2026.
- Rs. 12,00,000/- per annum from August 06, 2026, to May 24, 2029.
This is in addition to sitting fees for Board/Committee meetings and requires an Ordinary Resolution.
Voting Process and Methods
The Company is providing remote e-voting facilities through National Securities Depository Limited (NSDL).
- Remote e-voting period: Begins on Friday, August 14, 2026, at 09:00 A.M. and ends on Sunday, August 16, 2026, at 05:00 P.M.
- Cut-off date: Monday, August 10, 2026. Only members registered as of this date are entitled to vote.
- Voting methods: Shareholders can vote via NSDL's e-voting website (
www.evoting.nsdl.com) using their DEMAT account details or folio number. Individual shareholders holding securities in demat mode can also vote through their Depository Participants. - e-Voting during AGM: Members attending the AGM via VC/OAVM who have not voted remotely can vote during the meeting using the same NSDL system.
- No proxy voting: As per MCA Circulars, the facility for appointment of proxies is not available for this virtual AGM.
Key Voting Outcomes and Scrutinizer
- The Board of Directors has appointed CS Sandhya R. Malhotra, Partner of M/s. Manish Ghia & Associates, Company Secretaries, as the Scrutinizer to scrutinize the voting process.
- The Scrutinizer will count the votes cast during the AGM and unblock remote e-votes after the meeting, in the presence of two witnesses.
- A consolidated Scrutinizer's report will be prepared within 48 hours of the AGM conclusion and provided to the Chairman for result declaration.
- The results will be placed on the Company's website (
https://w.tracxn.com/investor-relations/shareholder-services#stock-exchange-disclosures) and NSDL's website (www.evoting.nsdl.com) immediately after declaration and simultaneously forwarded to BSE and NSE.
