Corporate Insolvency Resolution Process Status

The Hon'ble National Company Law Tribunal (NCLT), Mumbai Bench, admitted the application for initiation of Corporate Insolvency Resolution Process (CIRP) of Tricom Fruit Products Limited vide its order dated August 13, 2024. Mr. Prakash Dattatraya Naringrekar was appointed as Interim Resolution Professional and later as Resolution Professional in the 2nd Committee of Creditors meeting held on October 9, 2024. The powers of the Board of Directors stand suspended and are vested with the Resolution Professional.

The CIRP process is completed and a resolution plan has been approved by the Committee of Creditors and filed with NCLT for consideration. The order of NCLT for approval of Resolution Plan is awaited. The Resolution Professional is carrying out compliances for the year ended March 31, 2026, and will convene the Annual General Meeting.

Annual General Meeting Details

The 32nd Annual General Meeting will be held on Wednesday, September 30, 2026 at 11:00 AM IST through Video Conferencing/Other Audio Visual Means facility. The deemed venue is the registered office at Gat No. 336, 338-341, Village Andhori, Taluka - Khandala, Dist. Satara - 415521, Maharashtra.

Agenda Items

Ordinary Business:

1. To receive, consider and adopt the Audited Statement of Profit and Loss for the Financial Year ended March 31, 2026, the Balance Sheet as at that date, and the reports of the Board of Directors and Auditors thereon.

2. To appoint a Director in place of Mr. Chetan Kothari (DIN: 00050869) who retires by rotation and is eligible for re-appointment. His tenure will be subject to the terms of the Resolution Plan as may be approved by the NCLT under Section 31 of the Code.

Shareholding and Record Date

The Register of Members and Share Transfer Books will remain closed from September 24, 2026 to September 30, 2026 (both days inclusive). The cut-off date for determining voting rights is September 23, 2026.

Remote e-voting period begins on September 27, 2026 at 09:00 AM and ends on September 29, 2026 at 05:00 PM through NSDL e-Voting system. Members can vote electronically using their demat account credentials or folio numbers. Detailed login instructions are provided for both NSDL and CDSL account holders.

Mr. Chetan Kothari (DIN: 00050869), seeking re-appointment, holds 747,462 shares in the company. He is a Chartered Accountant with nearly three decades of corporate experience and serves as Member of Audit Committee and Chairman of Stakeholder Relationship Committee of Tricom Fruit Products Limited. He also serves as director of Tricom Infotech Solutions Limited.
