Transaction Update
TVS Motor Company provides an update to its earlier disclosure dated 15th May 2026 made under Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Asset Transfer Completion
- TVS EBike Company AG (a step-down wholly owned subsidiary) completed transfer of identified assets and liabilities to Callista Asset Management 33 GmbH (or its affiliates) on 2nd July 2026 at 3:00 PM (IST)
- The transfer was executed pursuant to an asset transfer agreement dated 14th May 2026
- Parties to the agreement: TVS Motor (Singapore) Pte. Ltd (wholly owned subsidiary), TVS EBike Company AG, and Callista Asset Management 33 GmbH
- The transfer was completed in accordance with the terms of the Asset Transfer Agreement
Shareholding Clarification
- No change in the shareholding of TVS Singapore in TVS EBike occurred pursuant to the Asset Transfer Agreement
- TVS EBike continues to remain as a wholly owned subsidiary of TVSM Singapore
- TVS EBike consequently remains a step-down wholly owned subsidiary of TVS Motor Company Limited
