The Board considered and approved the following matters related to the voluntary delisting process:
- Approved seeking shareholder approval through a Postal Ballot Process by passing a Special Resolution. This resolution supports the company's application filed with SEBI for an extension of time to comply with various requirements specified in SEBI's letter dated December 03, 2024, regarding the voluntary delisting of equity shares from BSE Limited.
- Approved the Postal Ballot Notice and explanatory statement to seek shareholder approval in accordance with applicable laws, rules, and regulations.
- Authorized the company to dispatch the postal ballot notice and explanatory statement to shareholders in compliance with applicable laws and to obtain any other required statutory/regulatory approvals for the Voluntary Delisting Process.
- Appointed Mr. Deepak Bansal, Practicing Company Secretary (Membership No. F3736 and CoP No. 7433), as the Scrutinizer to conduct the postal ballot process in a fair and transparent manner as per the Companies Act, 2013 and relevant rules.
- Fixed Friday, September 11, 2026, as the cut-off date to determine shareholder entitlement to cast votes electronically for the business to be transacted through Postal Ballot.
