Nature of Filing / Announcement: Outcome of Board Meeting - Appointment of CEO and Cost Auditor

Mr. Adithya Srivatsa Jayakar, presently serving as Deputy Managing Director, appointed as Chief Executive Officer (CEO) effective 13th August 2026
He will continue to hold the office of Deputy Managing Director while discharging CEO responsibilities
Appointment based on recommendation of Nomination and Remuneration Committee
Mr. Jayakar is son of Mr. Jayakar Krishnamurthy, Managing Director of the company
He possesses extensive management experience in the Automotive Industry with wide knowledge in general management, sales, marketing, operations management, and supply chain management

Mr. L. Thriyambak, Cost Accountant (Membership No. 40720) appointed as Cost Auditor for FY 2026-27
Appointment based on recommendation of the Audit Committee
Subject to approval of members at the ensuing Annual General Meeting
Mr. Thriyambak is a Commerce graduate and Practising Cost Accountant with 17 years of corporate experience in Finance, Accounts, Treasury, MIS and various audits including Statutory, Internal, and GST audits
Has professional experience in performing Cost Audits of Power Industry, Media Industry and Automobile ancillary Industry

40th Annual General Meeting fixed for Tuesday, 29th September 2026
Meeting to be conducted through Video Conferencing / Other Audio-Visual Means
Cut-off date for determining members eligible to vote: 22nd September 2026
