Nature of change: Re-appointment of an Independent Director.

Name and DIN: Mr. Paresh Nath Sharma (DIN: 00023625).

Effective date and tenure: The re-appointment is for a second term of five consecutive years commencing from 11th February, 2027 up to 10th February, 2032 (both days inclusive).

Brief profile: Mr. Paresh Nath Sharma is a Science Graduate and Fellow Member of the Institute of Chartered Accountants of India. He has done a Senior Management Course at Henley Management College, UK. He has experience of about four and a half decades in the field of finance, audit, export, personnel, and administration in different organizations such as Sir Ganga Ram Hospital, MMTC Limited, Airport Authority of India, National Small Industries Corporation Limited, and Punjab State Civil Supplies Corporation Limited.

Confirmation of eligibility: Based on the declaration received from Mr. Paresh Nath Sharma, he is not debarred from holding the Office of Director by virtue of any order passed by SEBI or any other such authority and is not disqualified for re-appointment.

Relationship with other directors: He is not related to any of the Directors of the Company.

Key Financial or Operational Approvals

Decisions taken: Shareholders at the 37th Annual General Meeting held on 29th July, 2026 approved the following by way of Special Resolutions:

1. The re-appointment of Mr. Paresh Nath Sharma as an Independent Director.

2. Alteration of the Memorandum of Association (MOA) of the Company as per the Companies Act, 2013. The alterations are to be registered by the Registrar of Companies, Delhi (ROC) with such modifications as may be advised by the ROC.

3. Increase in the aggregate foreign investment limit for NRIs and OCIs from 10% to 24% of the paid-up equity share capital of the Company.

MOA Alteration Details:

The existing main objects of the company (Clause III(A), sub-clauses 1 to 11) have been substituted with new sub-clauses 1 to 15. The new objects significantly expand and modernize the scope of the company's permissible business activities, including:

  • Manufacturing of a wider range of packaging materials, containers, and closures.
  • Paper, pulp, and board manufacturing.
  • Printing and all related services.
  • Manufacturing and dealing in printing inks, industrial coatings, pigments, dyes, and chemicals.
  • Manufacturing of PET chips, granules, bottles, and related products.
  • Business in industrial alcohol, spirits, and allied chemicals.
  • IT, software, telecommunications, and data processing services, including education and training.
  • Engineering, manufacturing, and consulting services for machinery.
  • General contracting and leasing business.
  • Business in solar photovoltaic energy systems and components.
  • Real estate development, construction, and infrastructure projects including townships and SEZs.
  • Liquid packaging materials and aseptic packages.
  • Holograms and holographic products for security and authentication.
  • Plastic waste recycling and management.
  • Providing marketing support and IT services to group companies.

The title of Clause III(B) was amended, and the entire Clause III(C) ("The other objects are") containing 76 sub-clauses was deleted. Clause IV was replaced to clarify that the liability of members is limited to the amount unpaid on their shares.

Strategic or Business Context

The alteration of the MOA represents a significant strategic update, broadening the company's defined business scope to encompass modern and diversified activities. This includes a strong focus on sustainability (plastic waste recycling, solar energy), technological advancement (IT services, holograms, security printing), and expansion within and beyond its core packaging business into areas like real estate development, infrastructure, and chemicals.
