The Investment and Borrowing Committee of the Board of Directors of UGRO Capital Limited approved, via resolution by circulation on Friday, 28th August 2026, the allotment of Non-Convertible Debentures (NCDs).

Principal Repayment Schedule

The principal amount is to be repaid in 5 (five) instalments on the following dates:

  • (a) August 28, 2029;
  • (b) February 28, 2030;
  • (c) August 28, 2030;
  • (d) February 28, 2031; and
  • (e) August 28, 2031.

Security Details

The Debentures are secured by a first ranking pari-passu charge by way of hypothecation on the present and future receivables and the proceeds thereof from any receivables comprising the identified assets (the "Hypothecated Assets") in favour of the debenture trustee.

Coverage Ratio: The value of the Hypothecated Assets shall at all times be at least 1.1 times the value of the outstanding principal amounts along with accrued interest thereon.

Default Interest

If any payment obligation is not paid on the due date, the Company shall pay default interest of 2% per annum over the Coupon Rate on the entire unpaid amounts for the period of default.
