Ujjivan Small Finance Bank Limited has made a regulatory disclosure under SEBI LODR Regulations, 2015, specifically Regulation 30 read with Schedule III. The disclosure pertains to the approval granted by the Nomination and Remuneration Committee of the Board in its meeting held on August 17, 2026.
The Committee approved a grant of 4,52,500 (Four Lakh Fifty-Two Thousand Five Hundred) options under the Bank's ESOP Scheme 2019. The scheme is in compliance with SEBI (SBEB and Sweat Equity) Regulations, 2021.
Each of the 4,52,500 granted options, upon vesting, confers the right to exercise and subscribe for 1 fully paid equity share of the Bank. The exercise price has been set at ₹61.46, which represents the 3-month average of the volume weighted average price. As per the scheme document, the exercise price is the lower of: (a) the last trading price quoted on NSE on August 14, 2026 (being the closing price on the previous trading day immediately preceding the proposed date of grant), or (b) the 3-month average of the volume weighted average price of the Bank's shares.
The vesting schedule for the options is structured over four years: Year 1 - 20%, Year 2 - 20%, Year 3 - 30%, and Year 4 - 30%. Options may be exercised within 5 years from the date of their respective vesting.
