United Foodbrands Limited has disclosed an update regarding the Scheme of Amalgamation between its two subsidiaries: Blue Planet Foods Private Limited (Transferor Company) and Red Apple Kitchen Consultancy Private Limited (Transferee Company).
The Hon'ble National Company Law Tribunal, Bengaluru Bench approved the Scheme on May 29, 2026. The Company received the NCLT order on June 2, 2026.
The Scheme will become effective upon filing of the certified copy of the NCLT order with the Registrar of Companies. The Appointed Date for the amalgamation is April 1, 2024.
The disclosure is made pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and follows the company's previous intimation dated July 29, 2024. The Scheme is implemented under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.
