Approval of Related Party Transaction: Ordinary Resolution to approve transactions with M/s Univastu NUOS IoT Systems Private Limited (subsidiary where Univastu holds 51% share capital) for sale, purchase, transfer or receipt of products, goods, materials, assets or services for estimated amount up to ₹100 Crores from FY 2026-27 onwards

6. Consent for Increase in Limits for Investments/Loans/Guarantees: Special Resolution to increase limits for making investments/extending loans and giving guarantees or providing securities in connection with loans to persons/bodies corporate to ₹1000 Crores over and above the statutory limit of 60% of paid-up share capital, free reserves and securities premium account or 100% of free reserves and securities premium account, whichever is more

7. Approval for Borrowing Funds: Special Resolution to authorize borrowing up to ₹750 Crore over and above the aggregate of paid-up share capital and free reserves of the Company pursuant to Section 180(1)(c) of Companies Act, 2013
