Business Transfer Agreement Execution

Usha Martin Limited ("the Company"), U M Cables Limited ("Seller") and R R Kabel Limited ("Purchaser") executed a Business Transfer Agreement ("BTA") on 25th September 2026 for the sale and transfer of the business undertaking of U M Cables Limited to R R Kabel Limited.

The transaction is structured as a slump sale and transfers the entire business undertaking on a going-concern basis.

Shareholder approval for the transaction was obtained prior to execution, as referenced in the company's earlier intimation dated 24th September 2026.
