V R Films & Studios Limited held its 18th Annual General Meeting (AGM) for the financial year 2025-26 on Friday, September 4, 2026, at 11:30 AM IST. The meeting was conducted through video conferencing/other audio-visual means (OAVM) in compliance with various circulars issued by the Ministry of Corporate Affairs and SEBI.

Mr. Manish Dutt, Chairman of the Company, chaired the meeting. The remote e-voting period commenced on Monday, August 31, 2026 (9:00 AM IST) and ended on Thursday, September 3, 2026 (5:00 PM IST).

Six resolutions were put to vote through remote e-voting and e-voting at the AGM:

Ordinary Business:

1. Receipt, consideration, and adoption of audited standalone and consolidated financial statements for the financial year ended March 31, 2026, along with reports of directors and auditors

2. Appointment of director in place of Mr. Manish Satprakash Dutt (DIN: 01674671), who retires by rotation and offered himself for re-appointment

3. Appointment of M/s Azad Jain & Co (Membership No. 400600, FRN No 006251C) as statutory auditors and authorization for board to fix remuneration

Special Business:

4. Reappointment of Mr. Manish Satprakash Dutt (DIN: 01674671) as Managing Director

5. Reappointment of Mr. Krishi Satprakash Dutt (DIN: 01674721) as Whole-Time Director

6. Regularization of Mr. Sagar Santosh Mirashi Patel (DIN: 11886151) as Non-Executive, Independent Director

The company provided e-voting facility during the AGM for members who had not voted previously, keeping it open for 15 minutes post-conclusion of proceedings. Two members registered as speakers during the meeting.

M/s Jaymin Modi & Co., Practising Company Secretaries, were appointed as scrutinizer to oversee the e-voting process. The voting results pursuant to Regulation 44(3) of SEBI Listing Regulations and scrutinizer's report will be submitted in due course. The results of voting (remote e-voting and AGM voting) along with consolidated scrutinizer's report will be announced within two working days from AGM conclusion.
