Voting Process
The Company provided remote e-voting through National Securities Depository Limited (NSDL). The cut-off date for determining voting eligibility was Tuesday, September 22, 2026. The remote e-voting period commenced at 9:00 A.M. (IST) on Friday, September 25, 2026, and ended at 5:00 P.M. (IST) on Monday, September 28, 2026. Members who had not cast votes through remote e-voting were provided the facility to cast votes electronically during the AGM, with e-voting remaining open for 30 minutes after the conclusion of the meeting.
Scrutinizer Appointment
The Company appointed CS Monali Bhandari, Partner of M/s Mehta & Mehta, Practising Company Secretaries, as the Scrutinizer to scrutinize the remote e-voting and e-voting conducted during the AGM in a fair and transparent manner.
Financial Performance Highlights Presented
The Chairperson highlighted the Company's financial performance for FY 2025-26:
- Revenue from operations: ₹738.38 crore
- EBITDA: ₹100.80 crore
- EBITDA margin: 13.65%
- Profit After Tax: ₹34.36 crore (compared to loss of ₹3.00 crore in previous financial year)
The presentation emphasized focus on improving capacity utilization, operating efficiencies, higher-value products, import-substitution opportunities, and prudent capital allocation.
Compliance Confirmation
The AGM was conducted in accordance with the applicable provisions of the Companies Act, 2013, the Rules made thereunder, the SEBI Listing Regulations, and applicable circulars issued by the Ministry of Corporate Affairs (MCA) and SEBI. The Notice convening the AGM dated August 12, 2026, together with the Annual Report for FY 2025-26, had been sent electronically to Members. The requisite statutory registers and records were made available for electronic inspection by Members.

The meeting included a financial presentation by Shri Mahek M. Chheda, Executive Director and CFO, providing an overview of the Company's manufacturing footprint, key chemistries, product portfolio, and business strengths. One speaker shareholder shared views and raised queries, which were responded to by Shri Parimal H. Desai, Managing Director.
