Vandan Foods Limited held its 11th Annual General Meeting on September 21, 2026, at 11:30 a.m. through two-way video conferencing / other audio-visual means facility. The meeting was conducted in compliance with circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India.
The meeting was chaired by Mr. Jitendra Rameshbhai Patel, Chairman and Non-Executive Director of the Company. With quorum being in place, the Members transacted all eight businesses mentioned in the Notice dated August 28, 2026.
Resolutions Passed
Item 1: To receive, consider and adopt the Audited Standalone Financial Statements of the Company for the financial year ended on 31st March, 2026, together with the Reports of the Board of Directors and the Auditors thereon (Ordinary Resolution)
Item 2: To appoint a Director in place of Mr. Kalpeshkumar Bhagavandas Thakkar, Executive Director (DIN: 07825212), who retires by rotation at this Annual General Meeting and being eligible offers himself for re-appointment (Ordinary Resolution)
Item 3: To approve grant of loan, guarantee or security under Section 185 of the Companies Act, 2013 – up to an aggregate limit of Rs. 300 Crore (Special Resolution)
Item 4: To approve giving of loans, guarantees or security and making of investments beyond the prescribed limits under Section 186 of the Companies Act, 2013 – up to an aggregate limit of Rs. 300 Crore (Special Resolution)
Item 5: Creation of Charges on the movable and immovable properties of the Company, both present and future, in respect of borrowings – up to an aggregate limit of Rs. 300 Crore (Special Resolution)
Item 6: Increase in borrowing limits – up to an aggregate limit of Rs. 300 Crore (Special Resolution)
Item 7: Appointment of Mr. Ankitkumar Surendrakumar Agrawal (DIN: 10118085) as an Independent Director (Special Resolution)
Item 8: To ratify Remuneration payable to Cost Auditors for the Financial Year 2026-27 (Ordinary Resolution)
Voting Process
All items were open for voting by both remote e-voting as well as e-voting during the AGM. The Board at its meeting held on August 28, 2026, had authorized Mr. Rakeshkumar Patel, Managing Director of the Company (DIN: 10141844), to declare the voting results in due course.
After all items of business had been transacted, the Chairperson informed Members that e-voting at the Meeting would stay open for 15 minutes after the proceedings concluded. The meeting, including the time allowed for e-voting, concluded at 11:56 a.m.
The details of the voting results (remote e-voting and e-voting at the AGM) on all resolutions along with the Scrutinizer's Report will be disseminated to the Stock Exchange and placed on the Company's website in due course.
