Proposed Resolutions and Implications

Five ordinary resolutions were proposed for shareholder approval:

1. To receive, consider and adopt the Audited Standalone Financial Statements for the financial year ended 31st March 2026, together with Reports of Board of Directors and Auditors.

Scrutinizer's Role and Findings

Mr. Ashok K. Singla of Ashok K Singla & Associates, Company Secretaries, was appointed as Scrutinizer by the Board of Directors in their meeting held on 6th August 2026. His responsibilities included:

  • Unblocking results from CDSL e-voting platform after electronic voting concluded
  • Downloading and diligently scrutinizing all votes cast
  • Maintaining electronic registers received from the service provider
  • Arranging to hand over these records to the Company

The scrutinizer confirmed that all five resolutions were passed with requisite majority and maintained proper records of the voting process.
