Vardhman Polytex Limited has made a payment of ₹1,00,00,000 (Rupees One Crore only) on September 25, 2026, towards part repayment of secured, unlisted, redeemable, optionally convertible debentures (OCDs) held by Special Situation India Fund.
Source of Funds
The repayment was made from advance amounts received against the sale consideration of the company's Ludhiana land property. The entire sale consideration for this property has not yet been received by the company.
Legal Basis for Repayment
The part repayment is being made pursuant to:
- Provisions relating to mandatory redemption of OCDs out of proceeds received from monetization of the company's mortgaged properties
- Paragraph 2.3(c) of Schedule 1 of the OCD Subscription cum Trust Deed
- Instructions from the Debenture Holder (Special Situation India Fund)
The provision permits outstanding debentures to be mandatorily redeemed in part or in full upon monetization of the specified mortgaged property.
