- Adoption of a new set of Memorandum of Association (MOA) in accordance with the provisions of the Companies Act, 2013, replacing the existing MOA based on the Companies Act, 1956.
- Adoption of a new set of Articles of Association (AOA) in accordance with the provisions of the Companies Act, 2013, replacing the existing AOA based on the Companies Act, 1956 which contains references to provisions that are no longer applicable.
- Alteration of Clause III(A) (Main Objects) of the MOA by insertion of a new Sub-Clause 5 to enable the Company to undertake additional business activities incidental to its future business plans, facilitating expansion/diversification of the Company's business activities and pursuit of additional business opportunities in accordance with strategic business plans.
The proposed adoption of new MOA and AOA is intended to align the constitutional documents of the Company with the provisions of the Companies Act, 2013 and the rules made thereunder.
The amendments shall become effective upon approval by the shareholders and filing of the requisite e-forms with the Registrar of Companies, wherever applicable.
