Director Backgrounds

Prof. J.K. Shah brings over four decades of experience in Commerce education and will provide continuity to the legacy of J.K. Shah Classes. The independent directors bring significant expertise:

  • Mr. Devendra Raj Mehta: Former Deputy Governor of Reserve Bank of India, former Chairman of SEBI, and Padma Bhushan recipient
  • Mr. Rajeev Sharma: Chartered Accountant, Company Secretary, and cost accountant
  • Mr. Vijay Choraria: Chartered Accountant and Harvard Business School alumnus
  • Mr. Nilesh Bansilal Mehta: Over 40 years experience in investing, financial services and business strategy, including 20+ years in direct private equity investing; Chartered Accountant and IIM Ahmedabad management graduate

Management Appointment

CA Kalpesh J. Mehta has been appointed as Chief Financial Officer of JSCEL. He is a Chartered Accountant with over 25 years of experience across listed companies and sectors including financial services, manufacturing, construction, and education.

JSCEL will consolidate the following Commerce education brands under a focused platform:

  • J.K. Shah Classes
  • BB Virtuals
  • Navkar Digital Institute
  • Tapasya College of Commerce
  • Logic School of Management

Demerger Timeline

The Record Date for the demerger is confirmed as October 6, 2026. Eligible shareholders of Veranda Learning as on the Record Date will receive equity shares of JSCEL in accordance with the terms of the sanctioned Scheme of Arrangement and applicable regulatory requirements.

Future Listing Plans

JSCEL will subsequently pursue listing of its equity shares on BSE Limited and National Stock Exchange of India Limited, subject to applicable approvals and processes.
