Vijaya Diagnostic Centre Limited announced the execution of a Business Transfer Agreement (BTA) for the 100% acquisition of the integrated diagnostic business undertaking of Arya Wellness Centre, Guwahati, Assam on a slump sale basis from NEMRIL HRPL JV (North Eastern Medical Research Institute Limited – Hexagon Research Private Limited JV).
The acquisition consideration is approximately ₹46 crore, marking Vijaya Diagnostic's entry into the North-East India diagnostics market. The transaction is expected to close within approximately three months, subject to the fulfilment of customary Conditions Precedent (CPs) and other terms and conditions set out in the BTA.

Arya Wellness Centre is a B2C-focused integrated diagnostic centre established in 2021 as a Joint Venture/AOP between North Eastern Medical Research Institute Ltd. (NEMRIL) and Hexagonal Research Pvt. Ltd. (HRPL). The centre is located on GS Road in Guwahati's prominent healthcare hub and offers comprehensive diagnostic services across radiology and pathology, including MRI, CT, ultrasound, mammography, X-ray, pathology tests, high-end interventional radiology procedures, and histopathology.
