Scrutinizer's Role and Findings

CS Vinay Babu Gade was responsible for scrutinizing the remote e-voting and the e-voting conducted at the AGM to ensure a fair and transparent process. His scope included verifying that the process adhered to Section 108 and 109 of the Companies Act, 2013, and Rule 20 and 21 of the Companies (Management and Administration) Rules, 2014, as well as SEBI LODR Regulation 44.

He confirmed that all relevant records were maintained electronically and that the voting process was conducted properly. Based on the data downloaded from the CDSL system, he certified that both resolutions were passed with the requisite majority.

The scrutinizer's report (Form MGT-13) will remain in his custody until the Chairman approves and signs the meeting minutes, after which it will be handed over to the Chairman/Company Secretary for safekeeping.
