Meeting Details

The 42nd AGM of Vistar Amar Limited was held on Tuesday, 22nd September 2026 at 03:00 p.m. IST through Video Conferencing (VC)/Other Audio-Visual Means (OAVM). The deemed venue was the Registered Office at Survey No. 1943, Mangalkunj, Railway Station Road, Opp. Balashram, Porbandar, Gujarat – 360575. The meeting commenced at 03:00 p.m. and concluded at 03:32 p.m., excluding an additional 15 minutes allowed for e-voting after conclusion.

Attendance

A total of 49 Members attended the AGM through VC/OAVM. The meeting was chaired by Shri Ramkumar Panjari, Chairman. Directors, Chairman, committee members, Company Secretary, Internal Auditor, Secretarial Auditor, and Scrutinizer participated through VC/OAVM.

Documentation and Communication

The Annual Report for FY 2025-26, containing the Notice of AGM, Directors' Report, Audited Financial Statements, and accompanying documents, was circulated electronically to members with registered email addresses. For members without registered emails, a letter with a web-link to access the complete Annual Report was dispatched in accordance with Regulation 36(1)(b) of SEBI LODR. An advertisement for email registration/update was published in newspapers on 12th August 2026. The AGM notice was published in newspapers on 31st August 2026.

Reports

The Notice convening the AGM, Directors' Report, and Audited Financial Statements for FY ended 31st March 2026 were taken as read. The Statutory Auditors' Report and Secretarial Audit Report were also taken as read, with no qualifications, reservations, adverse remarks, or disclaimers requiring explanation.

Scrutinizer Appointment

Mrs. Isha Gupta, proprietor of M/s. I S Gupta & Co., Practicing Company Secretaries, was appointed as Scrutinizer for the e-voting process.

The Chairman addressed members and briefed them on the company's performance during FY 2025-26. The detailed Chairman's Speech is available on the company's website.

Voting Process

The company provided remote e-voting prior to the AGM and e-voting during the AGM through Purva Sharegistry (India) Private Limited. Members who had cast votes through remote e-voting were entitled to participate but not vote again. The e-voting facility remained open for 15 minutes after the AGM conclusion for eligible members who had not yet voted.

Agenda Items and Voting Results

The following nine businesses were transacted through remote e-voting and e-voting during the AGM:

1. Adoption of Audited Financial Statements for FY ended 31st March 2026 and Reports of Board of Directors and Auditors thereon (Ordinary Resolution).

2. Re-appointment of Director Mr. Ramkumar Babulal Panjari (DIN: 00262001), who retires by rotation and offered himself for re-appointment (Ordinary Resolution).

3. Approval of remuneration to M/s. S A R A & Associates, Statutory Auditors for FY 2026-2027 (Ordinary Resolution).

4. Re-appointment of Mr. Rajeshkumar Babulal Panjari (DIN: 00261895) as Managing Director for five years from 1st October 2026, with remuneration of ₹5,00,000 (Rupees Five Lakhs) per month for three years from 1st October 2026 to 30th September 2029 (Special Resolution).

5. Re-appointment of Mr. Jaidip Dilipkumar Simaria (DIN: 02587800) as Non-Executive Independent Director for a second term of five years from 23rd September 2026 to 22nd September 2031 (Special Resolution).

6. Appointment of Mr. Pragnesh P. Patel (DIN: 11668303) as Non-Executive Independent Director for a first term of five years from 11th August 2026 to 10th August 2031 (Special Resolution).

7. Approval of Material Related Party Transactions with M/s. Amar Food Products for an aggregate value not exceeding ₹15,00,00,000 (Rupees Fifteen Crore) during FY 2026-27 (Ordinary Resolution).

8. Approval of Material Related Party Transactions with M/s. Amarsagar Seafoods Private Limited for an aggregate value not exceeding ₹15,00,00,000 (Rupees Fifteen Crore) during FY 2026-27 (Ordinary Resolution).

9. Approval of Material Related Party Transactions with M/s. Pesca Marine Products Private Limited for an aggregate value not exceeding ₹3,00,00,000 (Rupees Three Crore) during FY 2026-27 (Ordinary Resolution).

Member Interaction

Members registered as speakers were given an opportunity to express views and raise queries, which were responded to by the Chairman. No questions were raised through the Chat Box.

Outcome Declaration

The Scrutinizer was to consolidate votes from remote e-voting and e-voting during the AGM and submit a report. The voting results will be declared within prescribed time, submitted to BSE Limited, and placed on the company's website and the e-voting agency's website.
