Payment of Remuneration to Independent Directors: Special Resolution to approve payment of remuneration up to ₹30,00,000/- to each Independent Director per financial year (pro-rated for period served) for 3 financial years from April 1, 2026 to March 31, 2029, in addition to sitting fees and expense reimbursements. This remuneration may exceed limits prescribed under Section 197(1)(ii) read with Section II of Part II of Schedule V of the Companies Act, 2013.
