Welspun Corp Limited provides an update on the previously communicated acquisition of approximately 2.57% equity stake in Welspun Mauritius Holdings Limited (WMHL), which is currently a subsidiary of the Company. The acquisition is from Welspun Pipes Inc., USA, which is a wholly-owned subsidiary of Welspun Corp Limited.

Timeline Change

The acquisition, which was originally expected to be completed by 30 September, 2026, is now delayed due to the completion of certain procedural and transactional formalities. The new expected completion date is on or before 31 March, 2027.

Post-Transaction Structure

Upon completion of the transaction, WMHL will become a direct wholly-owned subsidiary of Welspun Corp Limited. The objective of this acquisition is to streamline the Company's overseas holding structure.

Financial Impact

Since the transaction is between Welspun Corp Limited and its wholly-owned subsidiary (Welspun Pipes Inc., USA), there will be no impact on the Consolidated Financial Statements of the Company.
