Key Decisions and Actions

The Board of Directors of Wim Plast Limited, in their meeting held on 27th May, 2026 (commencing at 12:30 p.m. and concluding at 1:35 p.m.), unanimously transacted the following business:

1. NCLT Order Sanctioning Scheme: Taken on record the certified copy of the Order dated 14th May, 2026 passed by the Hon'ble National Company Law Tribunal (NCLT), Ahmedabad Bench. This order sanctions the Composite Scheme of Arrangement amongst Wim Plast Limited (WPL), Cello Consumer Products Private Limited (CCPPL), and Cello World Limited (CWL) and their respective shareholders and creditors under Sections 230 to 232 of the Companies Act, 2013.

2. Effective Date Declaration: Decided and declared 27th May, 2026 as the Effective Date of the sanctioned Scheme. The Scheme is operative from the Appointed Date of 1st April, 2025. As a direct consequence of the Scheme becoming effective, Wim Plast Limited stands dissolved without being wound up, in accordance with the terms of the Scheme.

3. Record Date for Share Allotment: Fixed Tuesday, 9th June, 2026 as the Record Date. This date will be used to determine the shareholders of Wim Plast Limited who are entitled to receive equity shares allotted by Cello World Limited (CWL). This allotment is pursuant to:

  • The demerger, as per Clause 8.1 of the Scheme.
  • The amalgamation, as per Clause 16.1 of the Scheme.

Financial Reporting Implications

In view of the Scheme becoming effective on 27th May, 2026, the audited financial results for the quarter and financial year ended 31st March, 2026 were not placed before the Board. The reporting of these results will be handled as follows, in accordance with the scheme:

  • (i) Demerged Unit: The financial results pertaining to the demerged unit will form part of the financial results of Cello Consumer Products Private Limited (CCPPL) and the consolidated financial results of Cello World Limited (CWL).
  • (ii) Merged Unit: The financial results pertaining to the merged unit will form part of the financial results of Cello World Limited (CWL).

Cancellation of Scheduled EGM

Due to the dissolution of Wim Plast Limited, the Extraordinary General Meeting (EGM) that was scheduled to be held on 6th June, 2026 has been rendered infructuous and stands cancelled. This EGM was intended to seek shareholders' approval for the regularization of the appointment of Mr. Ramesh F. Ranka as an Independent Director of the Company for a term of 5 consecutive years with effect from 8th March 2026.
