The 63rd AGM is scheduled to be held on Tuesday, September 29, 2026, at 02:00 P.M. (IST) through Video Conferencing (VC)/Other Audio Visual Means (OAVM). The deemed venue for the AGM is the Registered Office of the Company.

Business to be Transacted

Ordinary Business:

1. To receive, consider, and adopt:

  • The Audited Standalone Financial Statements for FY26 together with Reports of the Board of Directors and Auditors.
  • The Audited Consolidated Financial Statements for FY26 together with the Report of Auditors.

2. Reappointment of Mr. Hitendrabhai Hasmukhbhai Patel (DIN: 09176579) as a Director, who retires by rotation and is eligible for reappointment.

3. Ratification of Cost Auditor's Remuneration: To consider and pass an ordinary resolution ratifying the remuneration of ₹90,000 (Rupees Ninety Thousand Only) plus applicable taxes and reimbursement of related business expenses at actuals to M/s. Ashish Bhavsar & Associates, Cost Accountants in Practice (Firm Registration No. 000387). This firm was appointed by the Board of Directors at its meeting held on May 09, 2026, to conduct the audit of the Cost Records for the Financial Year ending March 31, 2027. The appointment is pursuant to Section 148 of the Companies Act, 2013.

Record Date and Share Transfer Book Closure

The Register of Members and Share Transfer Books will remain closed from Wednesday, September 23, 2026, to Tuesday, September 29, 2026 (both days inclusive) for the purpose of the AGM. The cut-off date for determining members eligible to vote is Tuesday, September 22, 2026.

Remote E-Voting Details

The company is providing a remote e-voting facility for shareholders. The voting period begins at 09:00 am (IST) on Saturday, September 26, 2026, and ends at 05:00 pm (IST) on Monday, September 28, 2026. Shareholders as of the record date can cast their votes electronically. The e-voting module will be disabled after this period.

Distribution of Annual Report

The Notice of the 63rd AGM along with the Annual Report for FY26 is being circulated electronically to all eligible shareholders whose email IDs are registered. For shareholders who have not registered their email, a letter with a web-link to access the report is being sent, and physical copies will be provided upon request. The notice is also available on the company's website at www.windsormachines.com.

Explanatory Statement (Item No. 3)

The explanatory statement for the ratification of the cost auditor's remuneration confirms that the Board approved the appointment based on the recommendation of the Audit Committee. The remuneration of ₹90,000 plus GST and reimbursement of out-of-pocket expenses requires subsequent ratification by members as per Section 148(3) of the Companies Act, 2013. The Board recommends the resolution. It is stated that none of the Directors, Key Managerial Personnel, or their relatives are concerned or interested in this resolution.

  • Committee Memberships: Chairman of the Corporate Social Responsibility Committee and Member of the Risk Management, Stakeholders Relationship, and Nomination Remuneration Committees at Silver Consumer Electricals Limited.

  • The AGM is being held virtually; physical attendance and the facility to appoint proxies are not available.
  • Shareholders are encouraged to join the meeting via laptop/iPad for a better experience and must allow camera access.
  • Shareholders wishing to speak must register as a speaker at least 10 days before the meeting by emailing cs@windsormachines.com.
  • Shares can only be transferred in dematerialized form. Shareholders holding physical shares are requested to dematerialize them.
  • Unclaimed dividends for seven consecutive years will be transferred to the Investor Education and Protection Fund (IEPF).
