Windsor Machines-Global CNC Merger Effective March 2026

Windsor Machines Ltd's wholly-owned subsidiary Global CNC Pvt Ltd merged into it effective March 31, 2026, per NCLT Ahmedabad order dated March 19, 2026.
Appointed Date is April 1, 2025; no consideration or new shares issued as Global CNC was a 100% subsidiary of Windsor Machines.
Windsor Machines' authorized share capital rose from Rs. 40 crores to Rs. 40.10 crores and MoA amended to add CNC machinery business objects.
Global CNC reported FY25 PBT of Rs. 2,093.61 lakhs on revenues of Rs. 18,307.34 lakhs; Windsor Machines reported FY25 PBT of Rs. 423.56 lakhs on revenues of Rs. 32,759.85 lakhs.
