Key Matters Approved:

1. Approval of Board's Report:

The Board considered and approved the Board's Report and annexures under Section 134(3) of the Companies Act, 2013 for the financial year ended March 31, 2026.

2. Appointment of Scrutinizer:

Approved the appointment of Mr. Kashyap Shah & Co., Practicing Company Secretary (FCS:7662 and COP:6672) as Scrutinizer for the 24th Annual General Meeting of the Company.

3. Recommendation of Final Dividend:

Recommended a Final Dividend of ₹1.40 (28%) per Equity Share of face value ₹5 each for FY2025-26, to be paid out of company profits. This dividend payment is subject to shareholder approval at the ensuing Annual General Meeting.

4. Record Date for Dividend:

Finalized Thursday, 27th August 2026 as the record date for dividend payment for financial year 2025-26.

5. Shifting of Corporate Office:

Approved shifting of the Corporate Office FROM 6th Floor (601 to 603) OZONE, Sarabhai Compound, Dr. Vikaram Sarabhai Marg, Shubhanpura, Vadodara-390023 TO 201-202, 2nd Floor OZONE, Sarabhai Compound, Dr. Vikaram Sarabhai Marg, Shubhanpura, Vadodara-390023 at the same premises. The shift is effective from 1st September 2026.

6. Allotment of ESOP:

Allotted 15,500 equity shares of face value ₹5 each pursuant to exercise of vested Employee Stock Options under the Yash Highvoltage Limited Employee Stock Option Scheme 2025 by eligible grantees.

Capital Structure Impact:

Consequent to the ESOP allotment, the issued, subscribed, and paid-up equity share capital increased from 14,30,50,245 (divided into 2,86,10,049 equity shares of ₹5 each) to 14,31,27,745 (divided into 2,86,25,549 equity shares of ₹5 each).
