The postal ballot process is conducted through remote e-voting only, without a physical meeting. The e-voting period runs from Sunday, September 13, 2026, at 9:00 a.m. (IST) to Monday, October 12, 2026, at 5:00 p.m. (IST). Proposed Resolutions and Implications
Item No. 1: Enhancement of Borrowing Limits
Special Resolution to increase borrowing limits under Section 180(1)(c) of the Companies Act, 2013 from ₹750 Crores to ₹1,250 Crores. This will allow the Company to borrow money through various instruments including loans, financial facilities, working capital facilities, bonds, debentures, and commercial papers from banks, financial institutions, and other entities. The enhanced limit will provide financial flexibility for working capital requirements, capital expenditure, business expansion, and general corporate purposes.
Item No. 2: Enhancement of Asset Charge Creation Limits
Special Resolution to enhance the limit for creating charges/mortgages on company assets under Section 180(1)(a) of the Companies Act, 2013. This will authorize the Board to create mortgages, charges, pledges, hypothecations, and other securities on movable and immovable properties (present and future) to secure financial indebtedness up to ₹1,250 Crores.
Item No. 3: Continuation of Commission to Non-Executive Directors
Special Resolution to continue payment of commission to non-executive directors, including independent directors, of an aggregate amount not exceeding ₹70,00,000/- (Seventy Lakhs) per financial year. This is in addition to sitting fees and expense reimbursements for board/committee meetings.

The Board has appointed Dhrumil M. Shah & Co. LLP, Practicing Company Secretaries, as the Scrutinizer to scrutinize the remote e-voting process in a fair and transparent manner.
Results Declaration and Compliance
The results, together with the Scrutinizer's Report, will be declared not later than two working days from the conclusion of the e-voting period. The results will be displayed on the Company's website (www.yashoindustries.com), Bigshare's website (www.bigshareonline.com), and communicated to BSE Limited and National Stock Exchange of India Limited. The resolution will be deemed passed on the last date of e-voting (October 12, 2026) if approved with requisite majority.
