The 19th Annual General Meeting was held on Friday, September 25, 2026, at 12:00 Noon (IST). The meeting was conducted through Video Conferencing / Other Audio-Visual Means (VC/OAVM) in compliance with circulars issued by the Ministry of Corporate Affairs and SEBI.

Chairman of the Meeting

Dr. Ajay Kumar Tyagi, Chairman & Whole-time Director, was unable to attend. Consequently, Mr. Yatharth Tyagi, Whole-time Director, with the consent of the Board of Directors, chaired and presided over the meeting.

Quorum and Attendance

The total number of members on the cut-off date (Friday, September 18, 2026) was 99,769.

The attendance through VC/OAVM was as follows:

Summary of Proceedings and Resolutions

The Company Secretary informed members about the VC/OAVM procedure and the voting process. The Notice of the 19th AGM and the Annual Report for FY 2025–26 were sent electronically to all shareholders on Thursday, September 03, 2026.

The following seven resolutions were put to vote for shareholder approval:

Ordinary Business:

1. Adoption of audited Standalone and Consolidated Financial Statements for the financial year ended March 31, 2026, and Reports of Board of Directors and Auditors thereon. (Ordinary Resolution)

2. Re-appointment of Dr. Ajay Kumar Tyagi (DIN: 01792886), who retires by rotation. (Ordinary Resolution)

Special Business:

3. Ratification of Remuneration of the Cost Auditor for the financial year 2026-27. (Ordinary Resolution)

4. Approval for Material Related Party Transaction. (Ordinary Resolution)

5. Modification/revision in the Objects / terms of utilisation of the Initial Public Offering (IPO) proceeds. (Special Resolution)

6. Approval of Yatharth Hospital & Trauma Care Services Employee Stock Option Scheme – 2026. (Special Resolution)

7. Approval for Grant of Options to Employees of Subsidiary Companies in India under the aforementioned ESOP Scheme. (Special Resolution)

It was confirmed that there were no qualifications in the Statutory Auditor's Report or the Secretarial Auditor's Report.

Voting Process

The voting process was as follows:

  • Remote e-voting was conducted from Tuesday, September 22, 2026 (09:00 AM) to Thursday, September 24, 2026 (05:00 PM).
  • E-voting facility was also provided during the AGM through CDSL for members who had not cast their votes via remote e-voting.
  • The company appointed M/s USRK & Company, Practicing Company Secretaries, as the Scrutinizer to scrutinize all votes cast (remote and during the meeting) in a fair and transparent manner.
  • The detailed Scrutinizer's Report and voting results under Regulation 44(3) of SEBI (LODR) Regulations, 2015, were to be submitted separately and are not included in this document.
  • The e-voting facility remained open for 30 minutes after the conclusion of the meeting.

Member Interaction

Members who had registered as speakers were invited to raise queries, which were addressed. Some members complimented the Chairman and Management on the company's performance.

Conclusion of Meeting
