ZF Commercial Vehicle Appoints CFO and Company Secretary

The Board of Directors, based on the recommendation of the Nomination and Remuneration Committee, has made the following appointments:

1. Mr. Rakesh Mishra as Chief Financial Officer (CFO)

2. Ms. C V Kavviya as Whole-Time Company Secretary and Compliance Officer

Effective Date: July 25, 2026 (Saturday)
Designation: Key Managerial Personnel
Legal Basis: Section 203 of the Companies Act, 2013 and Regulation 6 of SEBI Listing Regulations
Note: Continues tenure as Compliance Officer from interim appointment effective March 25, 2026

Experience: Over 30 years in global technology and engineering companies (both Listed & Unlisted)
Current Role: Head of Finance & Compliance at ZF India Pvt Ltd (Tech Centre India - Hyderabad)
Specialization: Financial strategy, governance, taxation, M&A, regulatory compliance, and finance transformation
Professional Affiliations: NASSCOM Regional Council Member (2023–24)
Project Experience: Successfully led greenfield projects, restructuring initiatives, and ERP implementations
Education: Bachelor of Commerce from Utkal University; executive leadership certifications from Cornell University & the Indian School of Business

Qualification: Associate Member of The Institute of Company Secretaries of India (ICSI Membership No.: A55102)

Professional Expertise: Corporate laws, secretarial compliances, and corporate governance matters
